Keystone Med-Flight, LLC signs Distribution Agreement with mVisum, Inc. for first Air Medical use of mVisum’s medical communication technology.

Morgantown, PA December 8, 2010:  Keystone announced today that it has signed a distribution and license agreement with the mobile health care communication firm mVisum, Inc.

This agreement authorizes Keystone to distribute and sell mVisum’s unique medical data transmission system for use on medically configured aircraft. mVisum’s technology provides the ability to send, review, and respond to diagnostic quality medical data, images, and studies on virtually any “smart phone” which runs on current operating systems, such as BlackBerry, Windows Mobile, Apple, and Android.

Keystone Med-Flight plans to include the system as part of the standard installation on its own medical helicopters and provide the service turn-key to hospital customers. This system will provide the capability to transmit on a “real-time” basis, data such as EKGs, Echocardiograms, pulse oxygen data, or live HD video to the receiving hospital’s clinician’s mobile handheld devices or department based PC’s.

All data is transmitted securely, reliably and on a HIPPA-compliant basis, using mVisum’s patent pending proprietary system. Advanced technology features allow the system to be “network aware” so that another clinician can immediately be contacted if the originally intended recipient is unavailable or out of range. Once received, data can be reviewed, analyzed, and responded to using voice or text communication back through the system.

Rick Hinkle, President of Keystone Med-Flight said, “We are dedicated to providing our customers with the safest, most reliable and effective air medical transportation management and mVisum’s  technology will give our customers an important tool to help them monitor and maintain the stability of very high risk patients.”

Praveen Dala, President and CEO of mVisum stated, “We are excited about this opportunity to market our technology to a new health services segment. mVisum is certain that emergency medical personnel will see significant benefits from having the ability to transmit real time critical data to clinicians. With our success in deploying the technology on the ground at various hospitals, we believe that  air medical transportation is a natural next step for improving medical communication using mVisum. We are extremely pleased to be working on this new program with Keystone Med-Flight, whose management team has pioneered many of the hospital based air medical programs now in existence.”

Hawke Capital Partners Reaches Agreement to Acquire Keystone Med-Flight Services
Tuesday, October 12, 2010 - Hawke Capital Partners

Malvern, PA – October 12, 2010: The rotorcraft-focused private equity investor Hawke Capital Partners announced today that it reached agreement to acquire substantially all of the assets of Keystone Med-Flight Services, LLC, based in Morgantown, Pennsylvania. All maintenance for Keystone’s air medical customers will be provided by sister subsidiary Uniflight, in one of its 3 MRO facilities: Grand Prairie, Texas; Reading, Pennsylvania; and Rome, New York. In addition, the addition of Keystone Med-Flight to the Hawke Capital collection of rotorcraft business creates the fourth operating entity, adding to existing subsidiaries Uniflight, Aviation Services Unlimited, LLC which provides non-EMS Part 135 and Part 133 flight services, and Hawke Aircraft Holdings, Inc. Keystone Med-Flight operates a Part 135 certificate with EMS Operations Specifications.

Joe Hawke, Chairman of Hawke Capital and President and CEO of Uniflight, said, “The addition of Keystone Med-Flight to the Hawke Capital family of companies marks a very special moment in the development of our business. It enables us to reconnect with one of the most experienced and well regarded leadership teams in the HEMS industry, and it will undoubtedly provide the opportunity to expand even further our Northeastern U.S. operations. In addition, it represents a unique opportunity to resurrect the Keystone brand that was so beloved by the Flight Services customers for the 25 years that the division was in operation. We could not be happier about the opportunity to partner with Rick Hinkle, or his partners in Keystone Med-Flight, Jack Hustwit and Steve Weinert.”

Rick Hinkle, President of Keystone Med-Flight, added, “It is very rewarding to have reached the point that we can publicly announce this transaction. Joe Hawke and I worked closely together when we were both involved with Keystone Helicopter Corporation, and, to borrow Yogi Berra’s phrase, it has been “déjà vu all over again” watching Hawke Capital acquire Uniflight and develop its holdings in the helicopter industry. We are excited about having the opportunity to once again serve our customers with the same high quality of service that they became accustomed to at Keystone. The backing of Hawke Capital and the MRO support from Uniflight will ensure that we can make good on that promise.”

Hawke Capital Partners is led by an Advisory Board chaired by Joe Hawke. Board members include Greg A’slinger, Paul Rayhill, and, with this acquisition, will expand to include Rick Hinkle. HCP continues to seek complementary acquisitions that will expand both the MRO and flight service lines of its operating subsidiaries.
